Terms of Sale

These Terms of Sale ("Terms") govern all sales of products and services by Sieruta Attachments ("Seller"), located at ul. Bohaterów Westerplatte 11, 07-410 Ostrołęka, Poland. By placing an order, the Buyer agrees to be bound by these Terms. These Terms supersede any conflicting terms in the Buyer's purchase order or other documentation.

All quotations are valid for 30 days unless otherwise specified in writing. Quotations are based on current material costs and may be adjusted for significant market fluctuations. Orders become binding upon written confirmation from Sieruta Attachments. Custom orders require a 50% deposit before production begins. Standard products require a 30% deposit with the balance due before shipping.

All prices are quoted in EUR, Ex Works (EXW) Ostrołęka, Poland, unless otherwise agreed. Prices exclude VAT, customs duties, and shipping costs. Payment terms for established customers: Net 30 days from invoice date. Late payments incur interest at 1.5% per month. Sieruta Attachments reserves the right to suspend deliveries if payment terms are violated.

Delivery times are estimates and not guaranteed unless explicitly confirmed in writing. Standard lead times: 2-4 weeks for stock items, 4-8 weeks for custom fabrication. Risk of loss transfers to the Buyer upon delivery to the carrier (EXW terms). The Buyer is responsible for arranging freight, insurance, and import clearance unless otherwise agreed. Partial shipments are permitted.

Sieruta Attachments warrants all products against defects in materials and workmanship for 12 months from the date of delivery. Extended warranty (24 months) is available for registered products. Warranty covers repair or replacement at Sieruta's discretion. Warranty excludes: normal wear items (teeth, cutting edges, bushings), damage from improper use, overloading, accidents, or unauthorized modifications. Material warranties (Hardox, Strenx) are backed by SSAB guarantees.

Sieruta Attachments' liability is limited to the purchase price of the defective product. In no event shall Sieruta be liable for indirect, incidental, special, or consequential damages including loss of profits, business interruption, or equipment downtime. Total liability shall not exceed the amount paid for the specific product giving rise to the claim.

Standard products may be returned within 14 days of delivery in original condition for credit, subject to a 15% restocking fee. Custom-manufactured products are non-returnable. Cancellation of orders in production will incur charges for work completed and materials procured. Defective products must be reported within 7 days of receipt.

These Terms are governed by Polish law. Any disputes shall be resolved by the courts of competent jurisdiction in Ostrołęka, Poland. The parties agree to attempt good-faith negotiation before initiating legal proceedings.
