General Terms & Conditions of Sale

These General Terms and Conditions of Sale (GTC) apply to all sales of products by Sieruta Attachments, ul. Bohaterow Westerplatte 11, 07-410 Ostroleka, Poland (Seller) to business customers (Buyer). By placing an order, Buyer accepts these GTC. Conflicting terms in Buyer's purchase orders are hereby rejected unless expressly accepted in writing by Seller.

All quotations are valid for 30 days unless otherwise stated. Quotations are non-binding until confirmed by Seller's written order confirmation. Orders become binding upon Seller's written confirmation or commencement of production. Specifications, drawings, and technical data remain Seller's property and may not be disclosed to third parties.

• •Prices are quoted in EUR, ex works (EXW Ostroleka, Poland) per Incoterms 2020
• •VAT is additional where applicable
• •Standard payment: 30% deposit upon order confirmation, 70% before shipment
• •Established dealers: Net 30 days from invoice date
• •Late payment incurs interest at 8% above ECB base rate
• •Title to goods remains with Seller until full payment received (retention of title)

• •Standard delivery: EXW Ostroleka, Poland (Incoterms 2020)
• •DAP delivery available at additional cost
• •Lead times are estimates; delays do not entitle Buyer to damages
• •Risk passes to Buyer upon handover to carrier (EXW) or delivery (DAP)
• •Buyer must inspect goods within 5 business days of receipt
• •Visible defects must be reported in writing within 5 business days

• •Standard warranty: 24-month warranty from delivery or 2,000 operating hours, whichever first
• •Extended warranty: 24-month warranty available for eligible products
• •Warranty covers defects in materials and workmanship
• •Excludes: wear items, improper use, unauthorized modifications, lack of maintenance
• •Seller's obligation limited to repair, replacement, or refund at Seller's option
• •Warranty claims must include serial number, proof of purchase, and defect description

Seller's total liability for any claim is limited to the purchase price of the defective product. Seller is not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or costs of substitute equipment. These limitations apply regardless of the cause of action (contract, tort, or otherwise). Nothing in these GTC limits liability for death or personal injury caused by Seller's negligence or for fraud.

Seller is not liable for delays or non-performance due to circumstances beyond reasonable control including: natural disasters, war, terrorism, strikes, government actions, supply chain disruptions, or pandemics. In such events, delivery dates are extended accordingly.

All designs, drawings, specifications, and technical documentation remain Seller's exclusive property. Buyer receives no license to Seller's intellectual property except as necessary to use the purchased products for their intended purpose.

These GTC are governed by Polish law. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. Disputes shall be resolved by the competent courts in Warsaw, Poland. For disputes under EUR 50,000, parties agree to attempt mediation before litigation.
